TERMS AND CONDITIONS

For Purchases Made Through 4 Humanity Trading Ltd

1. About Us

1.1 4 Humanity International Ltd is a private limited company incorporated in England and Wales.

1.2 The Company is a wholly owned non-charitable trading subsidiary of 4 Humanity, a registered charity.

1.3 The Company operates in accordance with UK Charity Commission guidance on trading and fundraising and exists solely to support the Charity’s charitable purposes.

1.4 The Company and the Charity are separate legal entities.

2. Definitions

In these Terms and Conditions:

  • “Company” means 4 Humanity Trading Ltd.
  • “Charity” means 4 Humanity.
  • “Donor” means any third-party company, organisation, professional practitioner, partnership, sole trader, or private individual who donates or supplies goods, accommodation, transport, services, experiences, professional services, or vouchers.
  • “Buyer” means any person or entity purchasing, receiving, or redeeming a Donated Offering.
  • “Voucher” means any physical or digital voucher, certificate, code, credit, or token redeemable with a Donor.
  • “Donated Offering” means any goods, services, accommodation, transport, experiences, professional services, or Vouchers donated or supplied by a Donor.

3. Nature of the Company’s Role

3.1 The Company acts solely as an intermediary and facilitator between Buyers and Donors.

3.2 Neither the Company nor the Charity:

  • provides goods or services;
  • issues or guarantees Vouchers;
  • owns, inspects, stores, transports, or controls any Donated Offering;
  • enters into any contract for the provision of goods or services.

3.3 Any contract formed by a purchase or redemption is strictly between the Buyer and the Donor.

3.4 Nothing in these Terms creates a partnership, agency, joint venture, or employment relationship between:

  • the Company and any Donor;
  • the Charity and any Donor;
  • the Company and any Buyer.

4. Donated Offerings and Vouchers

4.1 All Donated Offerings are supplied by independent third-party Donors.

4.2 Donated Offerings may include, without limitation:

  • accommodation, hotel stays, and travel;
  • experiences or events;
  • physical goods (including artwork, vehicles, collectibles, or equipment);
  • professional or personal services (including counselling, coaching, or advisory services);
  • Vouchers redeemable for any of the above.

4.3 All Donated Offerings and Vouchers are subject exclusively to the Donor’s own terms and conditions.

5. Buyer Responsibilities

5.1 Buyers are solely responsible for:

  • reviewing the Donor’s terms and conditions;
  • confirming suitability of any goods or services;
  • booking, redeeming, collecting, or using Donated Offerings directly with the Donor;
  • complying with all applicable laws and Donor requirements.

5.2 The Company and the Charity do not verify:

  • Donor qualifications or licensing;
  • quality, condition, safety, authenticity, or legality;
  • availability or suitability for any purpose.

Buyer Complaints and Disputes

If a Buyer has a complaint regarding a Donated Offering, including the quality of a hotel stay, service, experience, or physical product, the complaint must be made directly to the Donor who supplied the offering.

The Company and the Charity do not investigate, resolve, or adjudicate disputes between Buyers and Donors and accept no responsibility for the performance, quality, safety, delivery, or suitability of any Donated Offering.

6. Refunds and Cancellation

6.1 Where a Buyer purchases a Donated Offering online or through distance selling, the Buyer may cancel the purchase within 14 days of the purchase date in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

6.2 To cancel a purchase, the Buyer must notify the Company within the 14-day cancellation period by contacting 4@4-humanity.one

6.3 A refund will be provided where the Donated Offering or Voucher has not been redeemed, booked, or used during the cancellation period.

6.4 Refunds will be issued using the original payment method within 14 days of receiving the cancellation request.

6.5 If a Voucher has been redeemed, used, or a booking has been made with the Donor, the right to cancel will no longer apply.

6.6 After the 14-day cooling-off period has expired, all purchases are final, except where required by law.

7. Consumer Law Position (UK)

7.1 Nothing in these Terms excludes statutory rights that cannot lawfully be excluded under UK consumer law.

7.2 However, the Buyer acknowledges that:

  • the Company and the Charity are not the trader or service provider for the purposes of the Consumer Rights Act 2015;
  • any statutory consumer rights apply only against the Donor.

7.3 Where cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 apply, the Buyer may exercise the 14-day cooling-off right as described in Section 6. Beyond that statutory cancellation period, any rights relating to the provision of goods or services apply only against the Donor

8. Vouchers – Specific Terms

8.1 Vouchers are issued and redeemed solely by the Donor.

8.2 Vouchers may be subject to:

  • expiry dates;
  • blackout periods;
  • availability limits;
  • advance booking requirements;
  • non-transferability or named-user restrictions.

8.3 Lost, stolen, expired, damaged, or unused Vouchers will not be replaced by the Company or the Charity.

9. Professional and Therapeutic Services Disclaimer

9.1 Where Donated Offerings include counselling, therapy, coaching, or similar services:

  • such services are provided solely by the Donor;
  • the Company and the Charity do not provide medical, mental health, legal, or financial advice.

9.2 Buyers are responsible for determining suitability and for seeking independent professional advice where appropriate.

10. Donor Insolvency and Business Failure

10.1 Donors may cease trading, withdraw offerings, or become insolvent at any time.

10.2 Buyers acknowledge that:

  • Vouchers or Donated Offerings may become unusable;
  • Buyers may rank only as unsecured creditors of the Donor;
  • the Company and the Charity do not guarantee fulfilment or continuity.

10.3 No refunds or replacements will be provided by the Company or the Charity in such circumstances, except where required by law.

11. No Safeguarding or Protection of Funds

11.1 Payments are not protected, insured, escrowed, or safeguarded.

11.2 The Company does not operate:

  • a client money account;
  • an escrow service;
  • a consumer compensation scheme.

11.3 Buyers acknowledge that a Donated Offering or Voucher is supplied by an independent third-party Donor. If the Donor becomes insolvent or fails to perform, the Donated Offering may become unusable and no refund or compensation will be available from the Company or the Charity except where required by law.

12. Anti-Money Laundering and Financial Crime

12.1 The Company complies with applicable UK financial crime laws.

12.2 The Company reserves the right to:

  • refuse or cancel transactions;
  • delay issuance or redemption;
  • request additional verification.

12.3 High-value items (including vehicles and artwork) may be subject to enhanced checks.

12.4 No liability arises for lawful refusal, delay, or reporting to authorities.

13. Limitation of Liability

13.1 To the fullest extent permitted by law, the Company and the Charity exclude liability for any loss, damage, injury, or expense arising from:

  • Donated Offerings or Vouchers;
  • acts or omissions of Donors;
  • use, misuse, or reliance on goods or services.

13.2 This does not exclude liability for death or personal injury caused by negligence where exclusion would be unlawful.

14. Indemnity

14.1 Buyers agree to indemnify the Company and the Charity against claims arising from:

  • use of Donated Offerings;
  • breach of Donor terms;
  • disputes with Donors.

15. Force Majeure

15.1 Neither the Company nor the Charity is liable for failure or delay caused by events beyond reasonable control.

16. Governing Law and Jurisdiction

16.1 These Terms are governed by the laws of England and Wales.

16.2 The courts of England and Wales have exclusive jurisdiction.

17. Acceptance of Terms

17.1 By purchasing, receiving, or redeeming any Donated Offering, the Buyer confirms acceptance of these Terms.
